Welcome to MsgFlow™️ ("Company," "we," "our," or "us"). By accessing or using our website, mobile application, and services including WhatsApp Business API, Messenger, Instagram, CRM, chatbot builder, automation tools, and related offerings (collectively, the "Services"), you ("User," "Customer," "Client") agree to these Terms & Conditions.
If you do not agree, please stop using our Services immediately.
1. Eligibility
You must be at least 18 years old to use our Services.
You represent that you have the authority to enter into these Terms on behalf of yourself or the business you represent.
Use of WhatsApp Business APIs and Meta platforms requires compliance with Meta’s Terms & Policies.
2. Services Provided
MsgFlow provides:
WhatsApp, Facebook, and Instagram API integrations
CRM & Customer Management tools
Chatbot and Automation Builder
eCommerce integrations & loyalty programs
GreenTick verification assistance
Analytics, reporting, and support services
We may modify, update, or discontinue any feature at our sole discretion.
3. Account Registration & Security
You must register an account with accurate details (name, email, phone, business information).
You are responsible for maintaining the confidentiality of your account credentials.
Any activity under your account will be considered your responsibility.
MsgFlow is not liable for unauthorized use of your account due to your negligence.
4. Acceptable Use Policy
You agree not to:
Use Services for unlawful, abusive, or fraudulent purposes.
Send spam, unsolicited bulk messages, or prohibited content via APIs.
Violate WhatsApp, Facebook, Instagram, or other platform policies.
Upload harmful code, malware, or attempt unauthorized access.
Misuse automation or APIs in a way that violates applicable laws.
Violation may result in suspension or termination of your account without refund.
5. Pricing, Payments & Refunds
All prices are listed in INR (₹) and exclusive of applicable taxes.
Subscription fees are payable in advance as per the selected plan.
Minimum recharge requirements apply for certain plans.
Paid add-ons are billed separately.
Refunds: Services are non-refundable once activated unless required by law or covered under our Refund Policy.
Failure to pay may lead to account suspension or termination.
6. GreenTick & Verification Services
We provide assistance in WhatsApp Business Verification & GreenTick approval.
Final approval is at Meta’s discretion, and we do not guarantee approval.
Fees for GreenTick assistance are non-refundable once submitted.
7. Data & Privacy
We process and store your data in accordance with our Privacy Policy.
You are responsible for obtaining consent from your customers before using their data on our platform.
You acknowledge that MsgFlow may access and process message logs, automation flows, and CRM data to provide Services.
8. Intellectual Property
All trademarks, logos, software, designs, and content are the property of MsgFlow or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use our Services.
You may not copy, modify, reverse-engineer, or distribute our platform without written consent.
9. Third-Party Integrations
Our Services integrate with third-party platforms (Meta, Shopify, WooCommerce, etc.).
MsgFlow is not responsible for outages, limitations, or policy changes on third-party platforms.
Your use of such platforms is subject to their respective Terms & Policies.
10. Service Availability
We aim for 99% uptime, but uninterrupted service is not guaranteed.
Scheduled maintenance and third-party outages may affect availability.
MsgFlow is not liable for any losses due to downtime.
11. Limitation of Liability
To the maximum extent permitted by law:
MsgFlow is not liable for indirect, incidental, or consequential damages.
Our total liability is limited to the amount paid by you to MsgFlow in the last 12 months.
We are not responsible for:
Business losses due to service interruptions
Delays or rejections in WhatsApp GreenTick verification
Violations caused by your misuse of APIs or Services
12. Indemnification
You agree to indemnify and hold harmless MsgFlow, its employees, and partners from any claims, losses, damages, liabilities, or expenses arising from:

Violation of these Terms
Violation of WhatsApp, Meta, or applicable laws
13. Termination
You may terminate your account at any time by contacting us.
MsgFlow may suspend or terminate your account for violation of these Terms, applicable laws, or non-payment.
Data may be deleted after termination, subject to legal retention requirements.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
Arbitration may be required before litigation, as per applicable law.
15. Changes to Terms
We may update these Terms & Conditions at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Continued use of Services constitutes acceptance of the updated terms.
